TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale (“Terms” or “Agreement”) constitute a legally binding contract between BlackTown Solutions Private Limited, a business registered under the laws of India, trading as “The Mint Street,” with its principal office at #3, Karumandapam, Tiruchirappalli, Tamil Nadu (hereinafter referred to as the “Seller”, “We”, “Us”, or “Our”), and any individual or entity purchasing Goods or Services from the Seller (hereinafter referred to as the “Buyer”, “You”, or “Your”).

  1. DEFINITIONS
    1. “Goods” refer to any hardware, software, or related products listed for sale by the Seller.
    2. “Services” include but are not limited to technical support, installation, maintenance, configuration, consulting, and any other services offered by the Seller.
    3. “Order” means a purchase order submitted by the Buyer to the Seller for Goods or Services.
    4. “Agreement” refers to this Terms and Conditions document, together with any Quotation, Invoice, or Order Acknowledgment.
  2. QUOTATIONS
    1. All Quotations provided by the Seller are valid for a period of seven (7) days from the date of issuance unless otherwise specified in writing.
    2. Quotations are subject to change without notice if not accepted within the validity period.
    3. Any prices, terms, and specifications listed in a Quotation are approximate and non-binding until confirmed via an official Order Acknowledgment.
    4. Quotations provided via email, digital format, or e-signature shall be considered valid and binding if followed by Buyer confirmation.
    5. The issuance of a Quotation does not constitute a commitment to sell unless the Order is confirmed and acknowledged by the Seller in writing.
  3. SALES ORDERS
    1. A Sales Order is considered confirmed only upon written acknowledgment by the Seller.
    2. The Seller reserves the right to accept or reject any Order at its sole discretion.
    3. All Orders must be accompanied by the full legal name, billing address, and GST number (if applicable) of the Buyer.
    4. Orders once confirmed by the Seller cannot be cancelled or modified by the Buyer without the written consent of the Seller.
    5. Orders confirmed via email or digital signature platforms shall be considered legally binding.
  4. INVOICES AND PAYMENT
    1. All invoices are payable in Indian Rupees (INR) unless otherwise stated.
    2. Payment is due immediately upon receipt of the invoice unless a prior written credit agreement is in place.
    3. Any disputes regarding invoices must be submitted in writing within two (2) business days of receipt. Failure to do so will result in the invoice being deemed accepted.
    4. The Seller may suspend or cancel deliveries if payment terms are not met.
    5. The Seller reserves the right to charge late fees for overdue invoices at 2% per month or the maximum rate permissible by applicable law.
    6. All payments must be made through authorized banking channels. The Seller shall not be responsible for any payments made to unauthorized parties.
  5. SHIPMENTS AND DELIVERY
    1. Delivery dates provided are approximate and not guaranteed.
    2. The Seller shall not be liable for delays caused by third-party logistics providers, customs clearance, strikes, natural disasters, or any force majeure events.
    3. Risk of loss or damage passes to the Buyer upon dispatch from the Seller’s premises.
    4. Shipping charges, insurance, and taxes (if any) are to be borne by the Buyer.
    5. Where delivery is made via third-party logistics providers, the Seller’s responsibility ceases upon handover to the carrier.
  6. TITLE AND RISK
    1. Title to Goods passes to the Buyer only upon receipt of full payment by the Seller.
    2. The Buyer assumes all risks related to Goods from the time of dispatch.
  7. INSTALLATION AND COMMISSIONING
    1. If installation services are included, the Buyer shall ensure site readiness before the agreed installation date.
    2. Any delays caused due to the Buyer’s failure to prepare the site may result in additional charges.
  8. USE AND COMPLIANCE
    1. The Buyer agrees to use the Goods in compliance with applicable local, state, and central laws.
    2. The Buyer shall not use the Goods for unlawful, prohibited, or unauthorized purposes.
  9. CONFIDENTIALITY
    1. Both parties agree to maintain confidentiality of all proprietary information, including pricing, specifications, and trade secrets.
    2. This clause shall survive the termination or expiration of this Agreement.
  10. INTELLECTUAL PROPERTY
    1. All software, documentation, and technical materials supplied remain the intellectual property of the Seller or its licensors.
    2. The Buyer is granted a non-transferable, non-exclusive license to use the software or materials solely for internal use, unless otherwise agreed.
    3. Reverse engineering, duplication, or redistribution of software or firmware is strictly prohibited.
  11. LIMITATION OF LIABILITY
    1. The Seller shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Goods or Services.
    2. The total liability of the Seller shall not exceed the amount paid by the Buyer for the specific Goods or Services giving rise to the claim.
  12. PRODUCT WARRANTY
    1. Warranty coverage is limited to the manufacturer’s standard warranty terms.
    2. The Seller assumes no responsibility for any claims under warranty that result from unauthorized repairs, physical damage, electrical surges, or misuse.
    3. Warranty claims must be supported by a valid purchase invoice and serial number.
    4. Warranty period starts from the date of invoice and not from the date of installation.
    5. Buyer is responsible for return shipping costs for warranty services unless otherwise agreed.
  13. PRIVACY AND DATA
    1. The Seller collects personal and transactional data solely for fulfilling Orders, maintaining customer relationships, and improving service.
    2. The Seller does not sell or share customer data with third parties unless required by law.
    3. By placing an order, the Buyer consents to the collection and processing of their personal data for order fulfillment, legal compliance, and internal analytics.
    4. All customer data is stored in compliance with the Information Technology Act, 2000 and applicable rules.
  14. FORCE MAJEURE
    1. The Seller shall not be liable for failure to perform its obligations due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, fire, floods, pandemics, or governmental restrictions.
  15. AMENDMENTS
    1. The Seller reserves the right to modify these Terms at any time without prior notice.
    2. Continued purchases from the Seller shall constitute acceptance of the modified Terms.
  16. ENTIRE AGREEMENT
    1. These Terms constitute the entire agreement between the parties and supersede all prior agreements, understandings, or representations.
  17. GOVERNING LAW AND DISPUTE RESOLUTION
    1. These Terms shall be governed by and construed in accordance with the laws of India.
    2. The courts at Tiruchirappalli, Tamil Nadu, shall have exclusive jurisdiction to adjudicate any disputes arising under or in connection with this Agreement, to the exclusion of all other courts.
    3. In the event of a dispute, the parties shall attempt to resolve the matter amicably. If unresolved within 30 days, either party may initiate legal proceedings or arbitration in accordance with Indian Arbitration and Conciliation Act, 1996.
  18. NON-WAIVER
    1. Failure by the Seller to enforce any right or provision under these Terms shall not constitute a waiver of such rights.
  19. SEVERABILITY
    1. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force and effect.
  20. SIGNATURES AND AUTHORIZATION
    1. All documents, acknowledgments, and confirmations (including but not limited to Orders, delivery challans, invoices, receipts, and agreements) shall be deemed valid and binding only if executed using a digital signature, as defined under the Information Technology Act, 2000 and applicable rules.
    2. Such digital signatures must be affixed by duly authorized signatories of the respective parties. The authority of the signatory must be supported by appropriate documentation (e.g., board resolution or power of attorney) upon request.
    3. The parties agree that such digital signatures carry the same legal validity and enforceability as handwritten signatures under applicable Indian law.
  21. TERMINATION
    1. The Seller reserves the right to suspend or terminate any transaction or Buyer account without notice in case of suspected fraud, breach of these Terms, or violation of applicable law.
    2. Termination of the Agreement shall not affect accrued rights or obligations of either party.

Return, Refund, and Cancellation Policy

This Return, Refund, and Cancellation Policy applies to all purchases made from BlackTown Solutions Private Limited, trading as The Mint Street, through our online platform (www.themintstreet.in), offline retail stores, and third-party marketplaces (e.g., Amazon, Flipkart, etc.). By transacting with us, you agree to the terms outlined below in accordance with Indian laws, including the Consumer Protection Act, 2019, and the E-commerce Rules, 2020.


  1. RETURNS AND CANCELLATIONS
    1. Goods once sold are not returnable, exchangeable, or refundable unless explicitly agreed in writing.
    2. Customized or specially ordered items are non-cancellable and non-returnable.
    3. All cancellations, if approved, are subject to a restocking fee of up to 25% of the Order value.
    4. Replacement or credit for damaged/defective Goods is at the sole discretion of the Seller.
  2. Eligibility for Return
    1. You may request a return under the following conditions:
      1. The product is damaged, defective, expired, or materially different from its description at the time of delivery
      2. Return request is raised within 24 hours of delivery
      3. Product is unused, in original packaging, with all tags and accessories intact
      4. Valid proof of purchase (invoice or order confirmation) is provided
    2. Some items are non-returnable due to hygiene, perishability, or legal restrictions. These include:
      1. Opened or used food and beverage items
      2. Personal care or hygiene products
      3. Custom or made-to-order goods
      4. Gift cards, downloadable items, or digital services
  3. Return Process
    1. Contact our customer service team at reach@themintstreet.net within 24 hours of receiving the product'
    2. Provide details: order ID, issue description, product images (if damaged/defective)
    3. Once approved, we will arrange a reverse pickup. If reverse logistics is unavailable, you may be asked to courier the item with reimbursement
    4. Post inspection and approval, the return will be processed
    5. We reserve the right to refuse return requests that do not meet the above criteria.
  4. Refund Policy
    1. Once the returned item is inspected and approved:
      1. Refund will be processed to the original mode of payment within 7-15 business days
      2. For Cash on Delivery (COD) orders, refunds will be initiated via NEFT or UPI (bank details required)
      3. Refund amount will exclude any delivery or COD charges unless the return is due to our error
      4. In case of partial returns or promotional offers, applicable adjustments will be made in the refund value.
  5. Order Cancellations
    1. Before Shipment:
      1. Orders can be cancelled by contacting us before they are packed and shipped
      2. Full refund will be processed within 7-15 business days
    2. After Shipment:
      1. Once shipped, the order can only be cancelled by rejecting the delivery
      2. Refund will be processed after return logistics and inspection
    3. We reserve the right to cancel any order in case of stock unavailability, payment failure, pricing errors, or suspicion of fraudulent transactions. A full refund will be initiated in such cases.
  6. Marketplace Purchases
    1. If your order is placed via Amazon, Flipkart, or other platforms, please follow the respective platform’s return and refund policy. We are bound by their terms for such orders, and you must initiate the process through your account on that platform.

    5. All return or refund-related complaints will be acknowledged within 48 hours and resolved within 15 business days, in line with e-commerce rules and consumer grievance redressal timelines.
  8. Governing Law
    1. This policy shall be governed by and interpreted in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts at Tiruchirappalli, India, where the registered office of BlackTown Solutions Private Limited is located.

DECLARATION

By proceeding with any purchase or transaction, the Buyer confirms that they have read, understood, and agreed to be bound by these Terms and Conditions of Sale and Return, Refund, and Cancellation Policy.
